Altas Partners to acquire University of St. Augustine for Health Sciences for US $400M

Altas Partners has agreed to acquire all of the issued and outstanding membership interests of the University of St. Augustine for Health Sciences (USAHS) from Laureate Education, Inc. (NASDAQ: LAUR) for US $400 million (all figures in US dollars).

The transaction is expected to close in late 2018, subject to required regulatory approvals, including approvals by the U.S. Department of Education and the WASC Senior College and University Commission, and customary closing conditions.

For the 12 month period ending December 31, 2017, USAHS had $89.6 million in revenue, $30.5 million in operating income and $4.1 million in depreciation and amortization, and as of December 31, 2017 had approximately 2,900 students.

Founded in 1979, The University of St. Augustine for Health Sciences is one of US leading graduate health sciences universities offering degrees primarily in physical therapy, occupational therapy, and nursing, as well as continuing education programs. It offers courses through its network of campuses in San Marcos, California; St. Augustine, Florida; Austin, Texas; and Miami, Florida; and through its online programs.

Laureate Education is controlled (91.5%) by a limited partnership whose investors include Douglas L. Becker, Laureate’s Chairman and founder, Steven M. Taslitz, Kohlberg Kravis Roberts & Co. L.P., Cohen Private Ventures, LLC, Bregal Investments, Inc., StepStone Group LP, Sterling Fund Management, LLC, Snow Phipps Group, LLC, Caisse de dépôt et placement du Québec, Moore Capital Management, LP, and Makena Capital Management, LLC.

USAHS will be Altas Partners’ second university investment. In August 2014, Altas Partners and Baring Private Equity Asia, along with a group of co-investors, acquired St. George’s University, in partnership with St. George’s management team led by Chancellor Charles R. Modica who co-founded the University in 1976.

Laureate Education, Inc. Agrees to Sell University of St. Augustine for Health Sciences to Altas Partners

BALTIMORE, April 25, 2018 (GLOBE NEWSWIRE) — Laureate Education, Inc. (NASDAQ:LAUR), the world’s largest global network of higher education institutions, announced today that it has signed an agreement with Altas Partners, a long-term oriented investment firm, for the sale of the University of St. Augustine for Health Sciences (USAHS), contingent on the receipt of all necessary regulatory and accreditation approvals.

USAHS is one of the nation’s leading graduate health sciences universities offering degrees primarily in physical therapy, occupational therapy, and nursing, as well as continuing education programs. Founded in 1979, USAHS educates students through its network of campuses in San Marcos, California; St. Augustine, Florida; Austin, Texas; and Miami, Florida; and through its online programs. USAHS is accredited by the Western Association of Schools and Colleges (WASC) Senior College and University Commission (WSCUC).

The transaction is expected to be completed in the fourth quarter of 2018, subject to regulatory approvals, including approval by the U.S. Department of Education and WASC. The transaction value is USD 400 million, subject to customary adjustments at closing. The two parties look forward to a smooth transition and timely completion of the process.
