Canadian investors acquire 2.555% of Meta’s US $10B bond offering

CPE News Brief (8.19.2022) – On August 9, 2022, Meta Platforms, Inc. (NASDAQ: META) completed its first ever bond offering of senior unsecured notes raising US $10 billion in aggregate gross proceeds.

Meta issued issued US $2.75 billion aggregate principal amount of its 3.500% senior unsecured notes due 2027, $3.00 billion aggregate principal amount of its 3.850% senior unsecured notes due 2032, $2.75 billion aggregate principal amount of its 4.450% senior unsecured notes due 2052 and $1.50 billion aggregate principal amount of its 4.650% senior unsecured notes due 2062.

The offering led by Morgan Stanley & Co. LLC with J.P. Morgan Securities LLC, BofA Securities, Inc. and Barclays Capital Inc. making up the rest of the underwriting syndicate.

Canadian institutional investors from BC, Ontario and Quebec purchased US $255.5 million or 2.555% of the aggregate bond offering.

Osler, Hoskin & Harcourt LLP acted as Canadian legal counsel to Meta in the Canadian offering.
