CDPQ backs CAE’s €70M acquisition of Flight Simulation Company B.V.

CPE News (11/16/2020) – Caisse de dépôt et placement du Québec (CDPQ) has made a $150 million equity investment in CAE (NYSE: CAE; TSX: CAE).

CPDQ funding is part of $450 million financing announced by CAE, consisting of $300 million bought deal of 10,060,000 common shares at a price of $29.85 per share and concurrent private private placement of common shares at the offer price with CDPQ.

The net proceeds of financings will be used for general corporate purposes, including to fund future potential acquisition and growth opportunities including funding of the acquisition of Flight Simulation Company B.V. for a cash consideration of approximately €70 million.

The acquisition of Flight Simulation Company will allow CAE to grow its capacity to offer training services to customers in Europe, primarily airlines and cargo carriers.

Flight Simulation Company was founded in 2005 and is based in Amsterdam, in proximity to Schiphol Airport. It provides total training solutions as well as instructor provisioning. It operates out of a 12-bay facility equipped with Airbus A320, Boeing B737, Boeing B747, Boeing B787 and Embraer E190 full-flight simulators.

CDPQ increases its interest in CAE

Caisse de dépôt et placement du Québec (“CDPQ”) has announced a $150 million equity investment in CAE (NYSE: CAE; TSX: CAE), a world leader in training and operational support in the civil aviation, defence and security and health care markets. With this transaction, CDPQ is supporting the Québec company’s expansion plans, including the acquisition of Flight Simulation Company B.V., which will allow CAE to grow its capacity to offer training services to customers in Europe, primarily airlines and cargo carriers. This transaction was done in conjuction with the company’s previously announced drive to raise $300 million in capital.

Despite the unprecedented situation created by COVID‑19, the Québec company has proven the resilience of its business model over the last year. The investment announced today will allow CAE to finance potential future growth and acquisition opportunities.
