Completed Deals
PUBLIC – NuRAN Wireless Inc. (CSE: NUR) has closed its fully subscribed brokered private placement of senior secured convertible debentures for gross proceeds of $3,500,000. First Republic Capital Corporation acted as placement agent.
PUBLIC – Metro Inc. (TSX: MRU) has closed private placement offering of C$400 million aggregate principal amount of Series E floating rate senior unsecured notes due February 27, 2020. The Notes are being offered through an agency syndicate consisting of BMO Nesbitt Burns Inc., National Bank Financial Inc. and TD Securities Inc. as co-lead managers and co-bookrunners.
PUBLIC – Maple Leaf Green World (TSX-V: MGW) has closed previously announced private placement of units of 7,866,600 units at $0.70 per unit for gross proceeds of $5,506,620
PUBLIC – Centurion Minerals Ltd. (TSX-V: CTN) has closed a second tranche of a non-brokered private placement of 3,692,143 units at $0.07 per unit for proceeds of $258,450. It previously announced a first tranche closing of $321,000 and subsequently increased the total funds to be raised from $350,000 to $579,000.
PUBLIC – Agellan Commercial Real Estate Investment Trust (TSX: ACR.UN) has closed its previously announced bought deal public offering of 4,807,000 units at a price of $11.45 per unit for gross proceeds of approximately $55 million. The units were sold to a syndicate of underwriters led by RBC Capital Markets and BMO Capital Markets.
PUBLIC – Superior Plus Corp. (TSX: SPB) announced that its indirect wholly-owned subsidiary, Superior Plus LP has closed on its previously announced private placement of CDN $250 million principal amount of 5.25% Senior Unsecured Notes due February 27, 2024. Superior LP intends to use the net proceeds to repay drawn amounts under its syndicated bank credit facility and to partially finance the $412 million purchase price of the option to acquire the Industrial Propane business of Gibson Energy Inc. The offering was underwritten by CIBC World Markets Inc. and Scotia Capital Inc., as joint book-running managers.
PUBLIC – Aurion Resources Ltd. (TSX-V: AU) has completed its previously announced non-brokered private placement of 5,783,997 common shares at $1.50 per share for gross proceeds of $8,675,995.50
PUBLIC – Stratton Resources Inc. (TSX-V: SI) has closed its previously announced non-brokered private placement of 20.3 million common shares at a price of $0.65 per share for gross proceeds of $13,195,000.
PUBLIC – Altiplano Minerals Ltd. (TSX-V: APN) has completed previously announced non-brokered private placement of 20,000,000 units at $0.15 per unit for gross proceeds of $3.0 million.
PUBLIC – Group Ten Metals Inc. (TSX-V: PGE; FSE: 5D32) has closed 100% of its two previously announced non-brokered private placements resulting in total gross proceeds of $1.96 million through the issuance of 31 million units.
PUBLIC – Aurcana Corporation (TSX: AUN) has completed its non-brokered private placement of 11,529,013 units at of $0.30 per unit for gross proceeds of $3,458,704.
PUBLIC – International Wastewater Systems Inc. (CSE: IWS; FSE: IWI; OTCPK: INTWF) has closed first tranche of brokered private placement led by Haywood Securities Inc. as agent of 2,659,850 units at $0.30 per unit for gross proceeds of $797,955.
PUBLIC – Comstock Metals Ltd. (TSX-V: CSL) has closed its previously announced non-brokered private of 13,344,157 units and 3,563,900 FT units for gross proceeds of $2,643,125.65.
PUBLIC – Heatherdale Resources Ltd. (TSX-V: HTR) has closes a private placement of 25.9 million units for gross proceeds of approximately $1.3 million.
Announced Deals
PUBLIC – Galileo Exploration Ltd. (TSX-V: GXL) intends to close a non-brokered private placement of up to 5,000,000 units at a price of $0.10 per unit for gross proceeds of up to $500,000.
PUBLIC – Siyata Mobile Inc. (TSX-V: SIM; OTCPK: SIMFF) has engaged Paradigm Capital Inc. as lead agent for a brokered private placement of units at $0.40 per unit for minimum gross proceeds of $1,500,000.
PUBLIC – Primero Mining Corp. (TSX: P; NYSE: PPP) has entered into a binding term sheet with Sprott Resource Lending Partnership for a $75 million three year term loan. The debt dacility is intended to refinance existing $75 million revolving credit facility, of which $50 million is currently drawn, and partly for general corporate purposes.
PUBLIC – Pioneering Technology Corp. (TSX-V: PTE), a technology company and North America’s leader in cooking fire prevention technologies and products, has entered into an agreement with Echelon Wealth Partners Inc. for a bought deal of 5,454,546 units at $1.10 per unit for gross proceeds of $6,000,000
PRIVATE – The Green Organic Dutchman Holdings Ltd. has entered into an agreement with a syndicate co-led by Canaccord Genuity Corp. and GMP Securities L.P. for a private placement, on a commercially reasonable efforts, of up to 6,100,000 units at $1.15 per unit for gross proceeds of up to $7,015,000.
PUBLIC – Blackbird Energy Inc. (TSX-V: BBI) intends to close marketed public offering of: (i) common shares for gross proceeds of up to $60 million; (ii) “CEE flow-through” shares for gross proceeds of up to $15 million; and (iii) “CDE flow-through” shares for gross proceeds of up to $5 million, for aggregate gross proceeds of up to $80 million.
PUBLIC – Crombie Real Estate Investment Trust (TSX: CRR.UN) has entered into an agreement with a syndicate of agents, co-led by TD Securities Inc. and CIBC World Markets Inc. for a best efforts private placement of $75 million aggregate principal amount of 3.962 percent Series B Notes maturing June 1, 2021.
