Completed Deals

PRIVATE – Paragon Capital Corporation closed private placement for $[mepr-active rule=”374″ ifallowed=”hide”]##subscriber ONLY content##[/mepr-active][mepr-active rule=”374″]875,000[/mepr-active].

PUBLIC – VOIP-Pal.Com Inc. (OTCQB: VPLM) has completed a private placement raising US $[mepr-active rule=”374″ ifallowed=”hide”]##subscriber ONLY content##[/mepr-active][mepr-active rule=”374″]226,500[/mepr-active] from US and Swiss investors.

PUBLIC – Alba Minerals Ltd. (TSX-V: AA.H; OTCPK: AXVEF) has completed private placement of 7,500,000 units at a price of 10 cents per unit for gross proceeds of $750,000.

PUBLIC – Nova Leap Health Corp. (TSX-V: NLH) has closed its previously announced non-brokered private placement by raising $700,000 through the issuance of 3,500,000 Units at a price of $0.20 per unit.

PUBLIC – Avalon Advanced Materials Inc. (TSX: AVL; OTCQX: AVLNF) has private placement with an entity managed by The Lind Partners of 500 Series A1 Preferred Shares at a price of $5,000 per Preferred Share for gross proceeds of $2,500,000.

M&A – Chemtrade Logistics Income Fund (TSX: CHE.UN) has completed its previously-announced acquisition of all of the issued and outstanding common shares of Canexus Corporation by way of a court-approved plan of arrangement for an enterprise value of $900 million.

PUBLIC – New Gold Inc. (TSX/NYSE: NGD) has closed its previously announced bought deal financing of 61,640,000 common shares at US $2.80 per share for gross proceeds of approximately US $173 million. The offering was made through a syndicate of underwriters led by RBC Capital Markets and Scotiabank.

PUBLIC – SQI Diagnostics Inc. (TSX-V: SQD; OTCQX: SQIDF), a life sciences and diagnostics company that develops and commercializes proprietary technologies and products for advanced microarray diagnostics, has completed an upsized non-brokered private placement of 22,970,000 at $0.16 per unit for gross proceeds of approximately $3.7 million. Insiders subscribed for 18,750,000 units for gross proceeds of $3 million.

M&A – Maple Leaf Foods (TSX: MFI: TSX) has closed previously announced acquisition of Lightlife Foods, Inc., a leading manufacturer and brand of refrigerated plant-based protein foods in the United States, has closed. The transaction value of $140 million plus related costs was financed from cash on hand.

PUBLIC – Maple Peak Investments Inc. (TSX-V: MAP) has closed previously announced non-brokered private placement 3,700,000 common shares at $0.90 per share for gross proceeds of $3,330,000.

PUBLIC – Volcanic Gold Mines Inc. (TSX-V: VG) has closed its previously announced non-brokered private placement financing of 12.5 million units at $0.40 per unit for proceeds of $5.0 million.

PE PIPE – Nevada Copper Corp. (TSX: NCU) has closed the US $5 million investment with its long-term cornerstone shareholder, Pala Investments Limited.

PUBLIC – Iberian Minerals Ltd. (TSX-V: IML; OTCQB: SLDRF) has closed over-subscribed subscription receipt financing of Enviroleach Technologies Inc. for gross proceeds of $3,000,000, being $500,000 more than previously announced.

PUBLIC – Desert Gold Ventures Inc. (TSXV: DAU; FSE: QXR2; OTCPK: DAUGF) has closed its private placement of 1,200,000 units at a price of $0.25 per unit for gross proceeds of $300,000.

Announced Deals

PUBLIC – First Quantum Minerals Ltd. (TSX: FM) is launching an offering of $1,600 million of Senior Notes due 2023 and 2025.

PUBLIC – Canadian Energy Services & Technology Corp. (TSX: CEU; OTCQX: CESDF) intends to conduct a private placement offering of $300.0 million aggregate principal amount of Senior Unsecured Notes due 2025. CES has engaged Scotia Capital Inc. and RBC Dominion Securities Inc. to lead a syndicate of underwriters to conduct the offering.
