ICOX Innovations to list on TSX Venture Exchange

ICOX Innovations Inc. (OTCPK: ICOX) has filed a preliminary prospectus qualifying the distribution in BC, Alberta, Manitoba, Nova Scotia and Ontario of 9,113,659 shares of common stock issuable for no additional consideration upon conversion of 9,113,659 subscription receipts.

ICOX Innovations closed a private placement, in two tranches on March 12 and 19, 2018, of 9,113,659 subscription receipts at US $0.60 per subscription receipt for gross proceeds of US $5.468 million or CDN $7.061 million.

As a condition of escrow release of the subscription receipt proceeds, ICOX is required to list its shares on a Canadian stock exchange prior to 5:00 p.m. (Vancouver time) on May 31, 2018.

ICOX Innovations has applied to list its shares on TSX Venture Exchange.

Clark Wilson LLP acts as legal counsel to ICOX Innovations in connection with its listing.

ICOX Innovations’ shares are quoted on the OTC Pink Sheet (OTCPK) under the symbol “ICOX”, but there have not been any trades for its shares on the OTCPK.

Incorporated in Nevada on July 20, 2010 under the name “Redstone Literary Agents, Inc.”, the company changed its name to ICOX Innovations Inc. on February 14, 2018.

As at April 5, 2018, ICOX Innovations had two executive officers, Bruce Elliott, President, and Michael Blum, CFO, Secretary and Treasurer, and no employees.

Cameron Chell, Chairman of ICOX, through Blockchain Fund GP Inc., indirectly controls 17% of ICOX outstanding shares on non-diluted basis. Chell, CEO of Business Instincts Group and a shareholder of WENN Digital Inc., also indirectly hold options in ICOX through Business Instincts Group.

Los Angeles, California based ICOX Innovations intends to operate as a services and development business that provides a turnkey set of services for companies to develop and integrate blockchain and cryptocurrency technologies into their business operations.

ICOX Innovations has entered into a business services agreement with WENN to provide WENN with the services in connection with WENN’s development of the Platform using blockchain technology, including (i) the business development and technical services, (ii) the business launch services and (iii) the post-business launch support services.

WENN has entered into a licensing partnership agreement with Eastman Kodak Company, which announced the launch of the KODAKOne blockchain platform and KODAKCoin ICO. ICOX Innovations is providing the services relating to the KODAKOne blockchain platform and the KODAKCoin ICO pursuant to the
business services agreement.
