Power Corporation Companies to sell $500M stake in Wealthsimple’s $750M offering

CPE News (5/3/2021) – Wealthsimple has signed an agreement for a $750 million financing round at a post-money valuation of $5 billion.

The new financing round is led by Meritech and Greylock. DST Global, Sagard, Iconiq, Dragoneer, TCV, iNovia, Allianz X, Base 10, Redpoint, STEADFAST, Alkeon, TSV, Plus Capital and others, plus celebrities Drake, Michael J. Fox, Ryan Reynolds, Kelly Olynyk, Dwight Powell, and Patrick Marleau are participating in the round.

Concurrent with the funding, Meritech’ Max Motschwiller will join Wealthsimple board of directors.

The offerings consist of a $250 million primary fundraising by Wealthsimple, as well as a $500 million secondary offering by the Power Corporation of Canada group of companies, Power Corporation of Canada (PCC), IGM Financial Inc. and Great-West Lifeco Inc.

Power Corporation of Canada group of companies is the largest shareholder of Wealthsimple holding a 62% equity interest, on a fully diluted basis with PCC, IGM Financial and Great-West Lifeco owning 23.1%, 36.3% and 2.3%, respectively. The PCC Group’s interest represents 76% of the voting rights.

Following completion of the primary and secondary offerings, Power Corporation of Canada group of companies will continue to have 60 per cent voting control, control of the board and 43 per cent economic interest.

Power Corporation of Canada group of companies will retain an interest valued at $2.1 billion.

The transaction is expected to close by mid-May 2021.

In October 2020, Wealthsimple raised $114 million at $1.5 billion post-money valuation.

The round is led by Meritech and Greylock. Wealthsimple has revolutionized how Canadians interact with their finances by bringing smart, simple, online financial products to market.
