Vision Critical closes secondary by W Capital Partners and Georgian Partners

Vision Critical Communications Inc., a customer intelligence platform provider, has completed a secondary transaction with a significant portion of the company’s shares purchased by W Capital Partners and existing investor Georgian Partners.

The transaction involved shares purchased from early shareholders including the remaining holdings of Dr. Angus Reid’s Angus Reid Enterprises, whose investment in 2002 facilitated the early expansion of the company founded by his son, Andrew Reid. Andrew Reid will remain a shareholder.

New York based W Capital Partners specializes in growth equity stage private companies. Alison Killilea and Blake Heston, Managing Directors of W Capital Partners, have joined Vision Critical board of directors, replacing Angus Reid.

Georgian Partners first invested in the company in August 2014, leading a $16 million Series D round with participation from Northleaf Venture Catalyst Fund and Kensington Global Private Equity Fund.

Vision Critical raised $20 million in Series C from OMERS Ventures and $4 million in venture debt from Wellington Financial in 2012.

OMERS Ventures and TELUS Ventures, an early backer, remain as significant shareholders of the company.

Oversight of the secondary sale process was provided by a Special Committee of the board of Vision Critical with financial advice from BMO Capital Markets and legal advice from Osler, Hoskin & Harcourt LLP.
