Baring Private Equity Asia backed TELUS International files for IPO on NYSE and TSX

CPE News (1/8/2021) – TELUS International (Cda) Inc. has filed a registration statement on Form F-1 with the U.S. Securities and Exchange Commission (SEC) and will file a preliminary base PREP prospectus with Canadian securities regulators for a proposed initial public offering (IPO).

The proposed IPO is expected to consist of subordinate voting shares offered by TELUS International from treasury and a secondary offering of subordinate voting shares held by TELUS Corporation and Baring Private Equity Asia, its selling shareholders.

The number of subordinate voting shares to be offered by TELUS International and the selling shareholders and the price range for the IPO have not yet been determined.

TELUS International has applied to list its subordinate voting shares on the New York Stock Exchange (NYSE) and on the Toronto Stock Exchange (TSX) under the symbol “TINT.”

J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC will act as joint lead book-running managers for the IPO. Barclays, BofA Securities and CIBC Capital Markets will act as book-running managers.

Shearman & Sterling LLP and Osler, Hoskin & Harcourt LLP act as US and Canadian legal counsel respectively to TELUS International while Paul, Weiss, Rifkind, Wharton & Garrison LLP and Stikeman Elliott LLP are acting for the underwriters.

For the nine months ended September 30, 2020, TELUS International reported US $1,350 million (Pro Forma).

In each of 2019, 2018 and 2017, TELUS Corporation and Google, were two largest clients in those periods, accounted for more than 10% of TELUS International’s service revenues.

For each of the last three years, TELUS Corporation represented 25.5%, 24.0%, and 31.4% of the service revenue in 2019, 2018 and 2017, respectively. TELUS Corporation represented 18.9% and 20.0% of the service revenue in the three- and nine-month periods ended September 30, 2020, respectively, and 27.4% and 25.8% of the service revenue in the three- and nine-month periods ended September 30, 2019, respectively.

Google accounted for 11.0%, 11.0%, and 14.0% of our service revenue in 2019, 2018 and 2017, respectively. In addition, Google is the largest client of Lionbridge AI, the data annotation business TELUS International acquired on December 31, 2020 for US $939 million. Google accounted for 65% of Lionbridge AI’s revenue in the year ended December 31, 2019.

For the three- and nine-month period ended September 30, 2020, TELUS International’s second largest client, “a leading social media company”, accounted for 17.1% and 15.5% of TELUS International service revenue, respectively. Google represented 11.8% and 12.5% of the service revenue for the three- and nine-month periods ended September 30, 2019, respectively.

Vancouver based TELUS International has almost 50,000 “team members” located in 50 delivery locations in over 20 countries: Austria, Bosnia and Herzegovina, Bulgaria, Canada, China, El Salvador, France, Germany, Guatemala, India, Ireland, Latvia, the Philippines, Poland, Romania, Slovakia, Spain, Switzerland, Turkey and the United States.

TELUS announces filing of registration statement for proposed Initial Public Offering of TELUS International

VANCOUVER, British Columbia, Jan. 08, 2021 (GLOBE NEWSWIRE) — TELUS Corporation (TSX: T; NYSE: TU) announced today that its subsidiary, TELUS International (Cda) Inc. (TELUS International), has filed a registration statement on Form F-1 with the U.S. Securities and Exchange Commission (SEC) and expects to file a preliminary base PREP prospectus with the securities regulatory authorities in each of the provinces and territories of Canada for a proposed initial public offering (IPO) of subordinate voting shares of TELUS International on Monday, January 11, 2021.
