PE Add-on – Subsea Global Solutions (SGS), a portfolio company of Lariat Partners, a Denver-based private equity firm, has acquired All-Sea Underwater Solutions (All-Sea), creating a global leader in providing underwater ship maintenance, repair and marine construction solutions.
PUBLIC – AurCrest Gold Inc. (TSX-V: AGO) has closed first tranche of its brokered private placement with the sale of 1,000,000 working capital units at a price of $0.05 per WC unit for a gross proceeds of $50,000.
PUBLIC – Anfield Resources Inc. (TSX-V: ARY; FSE: 0AD; OTCQB: ANLDF) has completed its private placement of 28,880,615 units at $0.10 announced on February 21st for gross proceeds of $2,888,061.
PUBLIC – Metalla Royalty & Streaming Ltd. (CSE: MTA; OTCQB: EXCFF; FSE: X9CP) has closed the non-brokered portion of the private placement announced February 13, 2017 of 6,433,636 units at $0.50 per unit for gross proceeds of $3,216,818.
PUBLIC – AnalytixInsight Inc. (TSX-V: ALY) has closed its previously announced non-brokered private placement of 13,000,000 units at $0.20 per unit for gross proceeds of $2,600,000.
PUBLIC – Alianza Minerals Ltd. (TSX-V: ANZ) has closed previously announced private placement of 5 million units at $0.125 per unit for gross proceeds of $625,000.
PUBLIC – Banyan Gold Corp. (TSX-V: BYN) has closed its previously announced non-brokered private placement of 3,406,312 flow through shares at $0.095 per share and 5,955,004 units at $0.08 per unit for gross proceeds of $800K.
PUBLIC – Kaiyue International Inc. (TSX-V: KYU) has closed previously announced private placement of 4,900,000 common shares at $0.05 per share for gross proceeds of $245,000.00.
PUBLIC – Kairos Capital Corporation (TSX-V: KRS) has closed the first tranche of its previously announced non-brokered private placement of 5,320,000 common shares at a price of $0.20 per share for gross proceeds of $1,064,000
Announced Deals
PUBLIC – Maple Peak Investments Inc. (TSX-V: NANA) intends to close a non-brokered private placement of up to 3,700,000 common shares at $0.90 per share for proceeds of up to $3,330,000. Proceeds will be used to invest into companies within the scope of the company’s investment policy.
PUBLIC – North Sea Energy Inc. (TSX-V: NUK) intends to close a non-brokered private placement of up to 4,000,000 units at $0.05 per unit for gross proceeds of up to $200,000.
PUBLIC – PNG Gold Corporation (TSX-V: PGK) intends to close a non-brokered private placement of up to 10,000,000 common shares at a price of $0.30 per share for gross proceeds of up to $3,000,000
PUBLIC – Cott Corporation (NYSE: COT; TSX: BCB) announced that its wholly owned subsidiary, Cott Holdings Inc. intends, subject to market and other customary conditions, to offer $650 million aggregate principal amount of senior notes due 2025 in a private offering.
PUBLIC – Clean Commodities Corp. (TSX-V: CLE) intends to close private placement of up to 6,666,667 units at a price of $0.075 per unit for gross proceeds of up to $500,000.03.
M&A/PUBLIC – Slate Office REIT (TSX: SOT.UN) has entered into an agreement with a syndicate of underwriters co-led by BMO Nesbitt Burns Inc., CIBC World Markets Inc. and TD Securities Inc. for a bought deal of 14,820,000 subscription receipts at $8.10 per subscription receipt for gross proceeds of approximately $120 million. Proceeds will be used to partially fund the acquisition of three office properties located in the Greater Toronto Area and Fredericton for an aggregate purchase price of $165 million.
PUBLIC – Lexaria Bioscience Corp. (CSE: LXX; OTCQB: LXRP) as entered into an agreement with Eight Capital as lead agent for “best efforts” private placement of units at US $0.42 per unit for gross proceeds of up to US $2,500,000.
PUBLIC/M&A – Black Diamond Group Limited (TSX: BDI) has entered into an agreement with a syndicate of underwriters co-led by Raymond James Ltd. and Peters & Co. Limited for a bought deal of 7,733,333 common shares at $3.75 per share to for gross proceeds of approximately $29,000,000. Proceeds will be used to repay debt incurred in the completed acquisition of the modular workspace rental fleet and related assets, including the Britco brand, from Britco LP, a wholly-owned subsidiary of WesternOne Inc.
PUBLIC – Lite Access Technologies Inc. (TSX-V: LTE) has entered into an agreement with Cormark Securities Inc. for a bought deal private placement of 5,600,000 common shares at $2.25 per share for gross proceeds of $12.6 million.
PUBLIC – UrtheCast Corp. (TSX: UR) has entered into an agreement with a syndicate of underwriters co-led by Clarus Securities Inc. and Canaccord Genuity Corp. for a bought deal of 11,333,340 common shares at $1.50 per share for gross proceeds of $17,000,010.
PUBLIC – African Gold Group, Inc. (TSX-V: AGG) has agreed to a private placement with Forbes & Manhattan Resources Inc. and certain other investors for a private placement of units at a price of $0.09 per unit for gross proceeds of up to $7.0 million.
PUBLIC – Cameo Resources Corp. (TSX-V: CRU; OTCPK: SIDNF) intends to undertake a private placement financing of up to 4,000,000 units at a price of $0.25 per unit for gross proceeds of up to $1,000,000.
PUBLIC – QMC Quantum Minerals Corp. (TSX-V: QMC; FSE:3LQ; OTCPK: QMCQF) has engaged Ascenta Finance Corp. to arrange a private placement of to 7.5 million units at $0.10 per unit for gross proceeds of up to $750,000.
PUBLIC – Lund Enterprises Corp. (TSX-V: LEN) has arranged for a non-brokered private placement of 1,500,000 common shares at the price of $0.10 per share for gross proceeds of $150,000.
