Difference Capital Announces Change to Board Nomination for Upcoming Annual General Meeting
TORONTO, ON–(Marketwired – June 23, 2017) – Difference Capital Financial Inc. (“DCF” or the “Company”) (TSX: DCF) (TSX: DCF.DB) announced today that Jason Marks has notified the Company that he will not be standing for re-election as a director of the Company at DCF’s upcoming Annual General Meeting scheduled for 11:00 a.m. on June 28, 2017 in Toronto (the “Meeting”). The board of directors of DCF would like to thank Mr. Marks for his contributions to the Company during his tenure of service. Mr. Marks remains available to the Company for advice and counsel on an ad hoc basis.
In his place, Company management proxy holders intend to nominate Mr. Corey Delaney CPA, CMA of Waterloo, Ontario for election as an independent director of the Company at the Meeting. Mr. Delaney is a corporate consultant working with over 50 Canadian private companies to access government funding for development, expansion, and growth. Over the course of his 20 year career, he has acted in various senior finance roles within the automotive, oil & gas, and technology sectors. Concurrent with his consulting responsibilities, Mr. Delaney has served in a long-term capacity as a part-time CFO for an automotive dealer group and a significantly sized privately-owned property management group. After completing his accounting designation in 2000, Mr. Delaney began his career in public accounting with a mid-sized accounting firm in the greater Toronto area. Mr. Delaney received his Honours Bachelor’s degree in Business from Wilfred Laurier University in 1998. It is anticipated that Mr. Delaney will be a member of each of the Audit Committee and the Corporate Governance, Compensation and Nominating Committee. Mr. Delaney does not currently beneficially own, control or exercise direction over any securities of the Company.
