CPE News (8/10/2020) – Genasys Inc. (NASDAQ: GNSS) has entered into a definitive agreement to acquire Amika Mobile. Financial terms were not disclosed. The transaction is expected to close within the next 30 to 60 days

Durham Jones & Pinegar and Dentons Canada act as US and Canadian legal counsel to Genasys respectively in connection with the transaction. LaBarge Weinstein acts as legal counsel to Amika Mobile.

Founded by CEO Suhayya (Sue) Abu-Hakima, and CTO Ken Grigg, Ottawa based Amika Mobile is an enterprise software provider of critical event situational awareness, communication and control products. Its flagship product, the Amika® Mobility Server (AMS), addresses IoT and BYOD security and is ideal for alert/response in Smart Cities, enterprise, community, airport, sports arena, shopping center and campus environments where visitors may not always be pre-registered in a contacts database since the AMS can auto-discover mobile devices for emergency alert/response.

Amika Mobile was relaunched in 2007 following the acquisition of its compliance business by Entrust in 2004.

Update – the transaction, similar to the Entrust deal, is structured as an asset purchase agreement, with consideration payable in cash plus stock earnout payments.

The transaction has been approved by the boards of directors of Genasys and Amika Mobile. The parties expect the transaction to close within the next 30-60 days, subject to customary closing conditions, including regulatory review.

Durham Jones & Pinegar is serving as legal counsel and Dentons Canada is serving as Canadian legal counsel to Genasys in connection with the transaction. LaBarge Weinstein is serving as legal counsel to Amika Mobile in connection with the transaction.
