Ivanhoe Electric prices TSX/NYSE American IPO at US $11.75

CPE News Brief(6.27.2022) – Ivanhoe Electric Inc. has priced proposed initial public offering (IPO) of common shares.

Ivanhoe Electric will issue 14,388,000 shares of common stock at US $11.75 per share, the low end of the proposed price, for gross proceeds of US $169.059 million.

Ivanhoe Electric has previously proposed to issue shares between US $11.75 and US $12.50 per share.

Ivanhoe Electric common shares will commence trading on the NYSE American in the United States and the Toronto Stock Exchange (TSX) in Canada under the symbol “IE” on June 28, 2022.

The offering is expected to close on June 30, 2022, subject to customary closing conditions.

Upon closing of the IPO, Ivanhoe Electric will have 92,608,474 shares outstanding or 94,766,674 shares if the underwriters exercise the over-allotment in full.

Vancouver based Ivanhoe Electric is a Delaware domiciled minerals exploration and development company with a focus on developing mines from mineral deposits principally located in the United States. Its two material mineral projects are located in the United States and are known as the Santa Cruz Copper Project in Arizona and the Tintic Copper-Gold Project in Utah. Other key mineral projects include the Hog Heaven Silver-Gold-Copper Project, located in Montana, and the Sama Nickel-Copper-Palladium Project, located in the Ivory Coast, in which Ivanhoe Electric has both direct and indirect interests.

Ivanhoe Electric Announces Pricing of Initial Public Offering

NEW YORK, New York, June 27, 2022 — Ivanhoe Electric Inc. (“Ivanhoe Electric”), a U.S.-based minerals exploration and development company, announced today the pricing
of its initial public offering of 14,388,000 shares of its common stock at a price of US$11.75 per share. The gross proceeds from the offering are expected to be
approximately US$169.1 million, before deducting underwriting discounts and commissions and estimated offering expenses payable by Ivanhoe Electric. In addition,
Ivanhoe Electric has granted the underwriters a 30-day option to purchase up to an additional 2,158,200 shares of common stock at the initial public offering price, less
underwriting discounts and commissions.

The shares are expected to begin trading on the NYSE American and the Toronto Stock Exchange on June 28, 2022 under the ticker symbol “IE”. The offering is expected to
close on June 30, 2022, subject to customary closing conditions.

Ivanhoe Electric intends to use the net proceeds of the offering to fund certain payments to acquire or maintain its mineral and property rights to its material and key mineral properties, to further its metals exploration activities at all of its mineral properties, to construct and deploy additional sets of its Typhoon™ electrical pulse-powered
geophysical surveying transmitter technology, as well as working capital and general and administrative costs.

BMO Capital Markets and Jefferies are acting as the lead bookrunners for the offering. J.P. Morgan is acting as a joint bookrunner for the offering.
