ONEX further reduces SIG Combibloc stake with US $540M secondary sale

CPE News (78/4/2020) – Onex Corporation (TSX: ONEX) and its affiliated funds have sold approximately 32.0 million shares of SIG Combibloc Group (SIX: SIGN), through an accelerated bookbuilding process to institutional investors, at CHF 15.50 per share, for gross proceeds of approximately US $540 million.

The placement is expected to close on August 6, 2020.

Onex’ share will be approximately US $190 million as a Limited Partner in Onex Partners IV and as a co-investor. The Onex Group will continue to hold approximately 32.3 million shares of SIG for an interest of 10%, of which Onex’ share will be approximately 11.4 million shares for a 4% interest.

In March 2015, Onex Group acquired SIG Combibloc Group AG for €3.75 billion with an equity investment of approximately US $1.2 billion.

Onex Group previously received US $300 million as part of SIG’s IPO and concurrent secondary offering in September 2018, by way of secondary sale, US $367 million in September 2019, US $422 million in November 2019, and US $556 million in March 2020.

Upon closing of the new secondary sale, Onex Group will have received US $2.185 billion.

TORONTO, Aug. 04, 2020 (GLOBE NEWSWIRE) — Onex Corporation (“Onex”) (TSX: ONEX) and its affiliated funds (the “Onex Group”) today announced they sold approximately 32.0 million shares of SIG Combibloc Group (“SIG”) (SIX: SIGN), a leading systems and solutions provider for aseptic carton packaging.

At the placement price of CHF 15.50 per share, gross proceeds to the Onex Group will be approximately $540 million, of which Onex’ share will be approximately $190 million as a Limited Partner in Onex Partners IV and as a co-investor. The Onex Group will continue to hold approximately 32.3 million shares of SIG for an interest of 10%, of which Onex’ share will be approximately 11.4 million shares for a 4% interest.

The placement, which was made through an accelerated bookbuilding process to institutional investors, is expected to close on August 6, 2020, subject to customary closing conditions.
