Onex to surrender control in Celestica by converting MVS

CPE News (3.14.2023) – Celestica Inc. (NYSE/TSX: CLS) has announced today that Onex Corporation (TSX: ONEX), its controlling shareholder, intends to convert its multiple voting shares (MVS) in Celestica then held to subordinate voting shares (SVS), on a one-for-one basis, in approximately six months.

Onex currently holds 18,600,193 MVS (100.0%) and 397,045 SVS with 81.9% voting power. Gerald W. Schwartz, Chairman & CEO of Onex personally owns 517,702 SVS and beneficially control all the MVS and SVS held by Onex, as Schwartz indirectly owns multiple voting shares of Onex carrying the right to elect a majority of the Onex board of directors.

As at February 21, 2023, Celestica had 102,884,648 SVS (which carry one vote per share and collectively represent 18.1% of the voting power) and 18,600,193 MVS (which carry 25 votes per share and collectively represent 81.9% of the voting power) issued and outstanding.

Upon conversion, Onex will see its ownership and voting power reduced to 15.3%.

Letko, Brosseau & Associates Inc., current holder of 12,805,785 SVS (12.4%) will increase its voting power to 10.5% for 2.3%.

Onex Intends to Convert its Celestica MVS to SVS
