Portage Fintech Acquisition Corporation prices US $240M IPO

CPE News (7/20/2021) – Portage Fintech Acquisition Corporation (PFAC), a blank check company incorporated as a Cayman Islands exempted company, has priced its initial public offering of 24,000,000 units at a price of US $10.00 per unit.

The units will be listed on the Nasdaq Stock Market, LLC and will trade under the ticker symbol “PFTAU” beginning July 21, 2021. Each unit consists of one Class A ordinary share of the Company and one-third of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share of the Company at a price of $11.50 per share. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on the Nasdaq under the symbols “PFTA” and “PFTAW,” respectively.

The offering is expected to close on July 23, 2021, subject to customary closing conditions.

PFAC previously expected to issue 20,000,000 units (or 23,000,000 units if the underwriters’ over-allotment option is exercised in full) at US $10 per unit for gross proceeds of up to US $230 million.

PFAC is sponsored by PFTA I LP which in turn controlled by its general partner, PFTA I GP, Inc. PFTA I GP is managed by a board of directors, comprised of three members, Adam Felesky (CEO of Portage Ventures), Sacha Haque (Partner of Portage Ventures and General Counsel & Secretary of Sagard Holdings), and Stephan Klee (Partner of Portage Ventures and CFO of Sagard Holdings).

Immediately following the closing of the offering, Portage Fintech Acquisition Corporation will have 29,000,000 shares outstanding and 8 million warrants (not including warrants, if any, to be sold to the sponsor) outstanding.

Under the previous proposed US $200 million offering, PFTA I LP agreed to purchase 6,266,667 warrants (or 6,666,667 warrants if the underwriters’ over-allotment option is exercised in full) at US $1.50 per warrant in a private placement to occur concurrently with the closing of the offering.
