ABC Technologies to acquire dlhBOWLES from MPE Partners for US $255M

CPE News (1.05.2022) – ABC Technologies Holdings Inc. (TSX: ABCT), a portfolio company of Apollo Global Management, Inc. and Oaktree Capital Management, L.P., has entered into a definitive agreement to acquire dlhBOWLES, Inc. from MPE Partners (Morgenthaler Private Equity) for approximately US $255 million.

North Canton, Ohio based dlhBOWLES is a recognized leader in the North American market for camera and sensor cleaning systems, windshield washer systems, sunroof drains, powertrain and chassis solutions. With approximately $120 million in revenue expected in 2021, dlhBOWLES has established a leading position in the North American washer systems market as well as the quickly expanding market for cleaning systems addressing advanced driving (ADAS) and thermal management for EVs.

In 2015, Morgenthaler Private Equity (MPE) acquired DLH Industries, Inc. and merged with existing portfolio company, Bowles Fluidics Corporation, to form dlhBOWLES.

The acquisition is expected to close in ABC Technologies’ Fiscal Third Quarter 2022 (1st Quarter CY 2022).

ABC Technologies Holdings intends to fund the acquisition with funding from a private placement with Apollo and Oaktree, Apollo and Oaktree backstopped rights offering, and debt commitment letters from Apollo and Oaktree.

AP IX Alpha Holdings (Lux) S.à.r.l, ABC’s controlling shareholder and a fund managed by affiliates of Apollo Global Management, Inc., holds 27,667,980 common shares, representing approximately 52.7% of the issued and outstanding common shares on a non-diluted basis. Oaktree Funds hold, in the aggregate, 13,854,412 Common Shares, representing approximately 26.4% of the issued and outstanding common shares on a non-diluted basis.

Immediately following the closing of the Private Placement (assuming 5,253,642 common shares are issued) (a) AP IX Alpha will hold 31,168,685 common shares, representing approximately 53.9% of the 57,790,064 issued and outstanding common shares on a non-diluted basis, and (b) Oaktree Funds will hold, in the aggregate, 15,607,349 Common Shares, representing approximately 27.0% of the 57,790,064 issued and outstanding common shares on a non-diluted basis.

Apollo and Oaktree have entered into a standby purchase agreement, and subject to certain terms and conditions, agreed to exercise all of each Standby Purchaser’s Rights issuable to it under such Standby Purchaser’s basic subscription privilege, and to purchase all of the Rights Shares that are not otherwise subscribed for and purchased under the Rights Offering, so that the maximum number of Rights Shares that may be issued in connection with the Rights Offering will be issued. No standby fee will be paid to the Standby Purchasers in connection with the Rights Offering.
