Cornell Capital LLC has acquired Knowlton Development Corporation (KDC) from Caisse de dépôt et placement du Québec (CDPQ), Fonds de solidarité FTQ, Investissement Québec (IQ), and Novacap IV. CDPQ and IQ will rollover a significant stake and remain as minority shareholders in KDC.
The investment was made by an investor group led by Cornell Capital, including HarbourVest Partners, LLC, in partnership KDC management.
KDC is an innovative, one-stop solution for its customers, providing product innovation, research support, custom formulation, batch processing, assembly, packaging and quality assurance services for prestige beauty and health, specialty personal care and household products.
KDC was acquired Novacap II in 2002 with Fonds de solidarité FTQ and Capital régional et coopératif Desjardins (CRCD) later joined as minority shareholders. In 2014, Novacap II completed a recapitalization of KDC, rolling over portion of the stake to Novacap IV and majority of stake transferred to Novacap II’s LPs, CDPQ and IQ. Fonds de solidarité continued to own a significant stake along with CDQP, IQ and Novacap.
New York based Cornell Capital is led by Henry Cornell, former Vice Chairman of Goldman Sachs’ Merchant Banking Division, who has a 35-year history of partnering with leading businesses. It will leverage its unique international investment expertise, including its extensive relationships in Asia, to enhance KDC’s business beyond North America.
The transaction is subject to standard closing conditions and is expected to close over the next quarter.
